If you do not agree, you must not access or use the Website.

1. Acceptance of Terms

Welcome to the Website, operated by Storefront AI. By accessing or using the Website, you ("User" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you must immediately cease all access to and use of the Website.

These Terms of Use incorporate by reference our Privacy Policy, which governs our collection, use, and disclosure of your information. By using the Website, you also consent to the practices described in the Privacy Policy.

These Terms of Use govern your access to and use of the Website only. Use of Storefront AI's products and services is governed by separate agreements, as described in Section 10 of these Terms of Use.

  • You have the legal capacity and authority to enter into a binding contract under applicable law; and

If you do not meet all of these eligibility requirements, you must not access or use the Website. Storefront AI may, in its sole discretion, refuse access to the Website to any person or entity that does not satisfy these requirements.

Storefront AI may revise and update these Terms of Use from time to time in its sole discretion. All changes are effective immediately when posted on the Website. The "Last updated" date at the top of these Terms of Use indicates when the most recent revisions were made.

Your continued use of the Website following the posting of revised Terms of Use constitutes your acceptance of and agreement to the changes. You are expected to check this page periodically so that you are aware of any changes, as they are binding on you.

4. Accessing the Website and Account Security

Storefront AI reserves the right to withdraw, modify, or discontinue the Website, or any content, feature, or service available through the Website, in its sole discretion and without notice. Storefront AI shall not be liable if all or any part of the Website is unavailable at any time or for any period.

You are responsible for making all arrangements necessary to access the Website, including obtaining and maintaining a suitable internet connection and compatible equipment.

If the Website requires you to register an account, you agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update such information; (c) maintain the confidentiality of your login credentials; (d) accept responsibility for all activity under your account; and (e) notify Storefront AI immediately at support@storefront-ai.com of any unauthorized use of your account or any other security breach.

Storefront AI may disable any user account, username, or password at any time, in its sole discretion, for any or no reason, including if Storefront AI determines that you have violated any provision of these Terms of Use.

5. Intellectual Property Rights

All content, features, and functionality on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software, and the design, selection, and arrangement thereof, are owned by Storefront AI, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms of Use, Storefront AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for business and personal informational purposes. You may: (a) temporarily store copies in RAM incidental to accessing the Website; (b) store files automatically cached by your browser; and (c) print a reasonable number of pages for your own use.

Except as expressly permitted above, you shall not: (a) reproduce, distribute, modify, create derivative works of, publicly display, download, store, or transmit any Website content; (b) modify copies of any materials from the Website; (c) delete or alter any copyright, trademark, or other proprietary notices; or (d) use Website materials for any unauthorized commercial purpose. All rights not expressly granted herein are reserved by Storefront AI and its licensors.

6. Trademarks

The Storefront AI name, the Storefront AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Storefront AI, Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Storefront AI. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Nothing contained on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Website without the written permission of Storefront AI or the applicable trademark owner. Your misuse of any trademarks on the Website, or any other content on the Website, is strictly prohibited.

7. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To exploit, harm, or attempt to exploit or harm minors in any way.
  • To transmit or procure the sending of any advertising, promotional materials, spam, junk mail, chain letters, or similar solicitations without Storefront AI's prior written consent.
  • To impersonate or attempt to impersonate Storefront AI, a Storefront AI employee, another user, or any other person or entity.
  • To interfere with or disrupt the operation of the Website or any servers or networks connected to the Website.
  • To use any robot, spider, scraper, or other automated means to access the Website without Storefront AI's prior written permission; provided, however, that this restriction does not apply to (a) operators of public search engines and AI answer or assistant services using automated means to index, retrieve, or summarize Website content, in each case in compliance with the Website's robots.txt file or equivalent published crawl directives, or (b) automated agents acting on behalf of an individual user in the ordinary course of browsing.
  • To introduce any virus, Trojan horse, worm, logic bomb, or other malicious or technologically harmful material.
  • To attempt to gain unauthorized access to any portion of the Website, other accounts, computer systems, or networks connected to the Website.
  • To engage in any denial-of-service attack or distributed denial-of-service attack against the Website.

8. User Contributions

Storefront AI may, in its sole discretion, remove or refuse to post any User Contributions for any reason. Storefront AI is not responsible for the content or accuracy of any User Contributions posted by users.

9. Copyright Infringement and DMCA Notices

It is the policy of Storefront AI to terminate the website access privileges of users who are repeat infringers of copyright in appropriate circumstances.

If you believe that any content on the Website infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing the following information in writing to Storefront AI's designated agent:

  • A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf.

Storefront AI does not warrant the accuracy, completeness, or usefulness of any information on the Website. Any reliance you place on such information is strictly at your own risk. Content provided by third parties does not reflect the opinions of Storefront AI.

Links and Third-Party Services. The Website may contain links to third-party websites and services. Storefront AI does not control, and is not responsible for, the content, privacy policies, or practices of any third-party site. Links do not constitute an endorsement by Storefront AI. You access third-party sites at your own risk. You may link to the Website's homepage, provided that you do so in a way that is fair and legal, does not damage or take advantage of Storefront AI's reputation, does not suggest any form of association or endorsement without written consent, and does not involve framing or deep linking without prior written permission.

Product and Service Terms. Use of Storefront AI's SaaS platform and related products is governed by separate agreements, which may include a Beta Test License Agreement, Terms of Service, or Master Subscription Agreement (each, a "Product Agreement"). Product Agreements are separate from and in addition to these Terms of Use. In the event of any conflict between these Terms of Use and an applicable Product Agreement, the Product Agreement shall control with respect to the applicable product or service.

11. Geographic Availability

Storefront AI, Inc. is a Delaware corporation based in the United States, with its principal office located at 153 Woodland Dr, Huntington, WV 25705, USA. The Website is provided for use by persons located worldwide.

Storefront AI makes no representations or warranties that the Website is appropriate, available, or legally compliant in any particular jurisdiction outside the United States. Users who access the Website from locations outside the United States do so on their own initiative and are solely responsible for compliance with all applicable local, national, and international laws, regulations, and rules, including any applicable export and import restrictions.

If any content on the Website is prohibited or restricted in the jurisdiction from which a user accesses it, that user must not access or use the Website.

12. Disclaimer of Warranties; Limitation of Liability; Indemnification

12.1 Disclaimer of Warranties. THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. STOREFRONT AI AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. STOREFRONT AI DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12.2 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, STOREFRONT AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, PROFITS, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO THE WEBSITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT A COURT OF COMPETENT JURISDICTION FINDS STOREFRONT AI LIABLE NOTWITHSTANDING THE FOREGOING, STOREFRONT AI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). THE FOREGOING DOES NOT AFFECT LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

12.3 Indemnification. You agree to indemnify, defend, and hold harmless Storefront AI, Inc. and its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Use; (b) your use of the Website; (c) your User Contributions; or (d) your violation of any applicable law or the rights of any third party.

13. Governing Law, Jurisdiction, Arbitration, and Class Action Waiver

13.1 Governing Law. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.

13.2 Jurisdiction. For any matter not subject to arbitration under Section 13.3, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, and you waive any objection to such jurisdiction or venue, including on the basis of inconvenient forum.

13.3 Binding Arbitration. Any dispute arising out of or relating to these Terms of Use or your use of the Website shall be resolved through binding arbitration administered under the AAA Commercial Arbitration Rules before a single arbitrator in Wilmington, Delaware. Either party may bring an eligible claim in small claims court as an alternative to arbitration. You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending written notice to support@storefront-ai.com.

13.4 Class Action Waiver. You agree to bring any claims against Storefront AI only in your individual capacity. You waive any right to participate as a plaintiff or class member in any class, collective, or representative proceeding.

13.5 Limitation on Time to File Claims. Any cause of action or claim arising out of or relating to these Terms of Use or the Website must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

14. General Provisions

Waiver and Severability. No waiver of any term or condition set out in these Terms of Use shall be effective unless set forth in writing and signed by the waiving party. No failure to exercise, and no delay in exercising, any right or remedy under these Terms of Use shall operate as a waiver thereof. If any provision of these Terms of Use is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Electronic Communications. By using the Website, you consent to receiving communications from Storefront AI electronically. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Entire Agreement. These Terms of Use and the Privacy Policy constitute the sole and entire agreement between you and Storefront AI regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Website. Nothing in these Terms of Use affects or supersedes any separate product agreement (including any Beta Test License Agreement, Terms of Service, or Master Subscription Agreement) between you and Storefront AI.
